General Meeting of november AG on July 21, 2010 in the Mediapark, Cologne.

PROGEN Biotechnik GmbH obtains certification according to DIN EN ISO 13485:2003 and AC:2007 in the area of development, production and marketing of in-vitro diagnostics, diagnostics for research purposes and research reagents.

September

Effective immediately, CE-certified test systems from PROGEN Biotechnik GmbH/ Multimetrix for 2-step Borrelia diagnosis are accepted as routine method in laboratory diagnostics.

October

PROGEN Biotechnik GmbH and MULTIMETRIX GmbH sign a cooperation agreement with Mikrogen GmbH, Munich, in the field of the multiplex technology based on the Luminex platform.

PROGEN Biotechnik GmbH signs an exclusive distribution agreement with Asuragen Inc., USA, for the marketing of Asuragen products for personalized medicine and accompanying diagnostics in the field of oncology and human genetics.

2009

March

PROGEN Biotechnik GmbH sells major assets to AXIS-SHIELD GmbH. Purchase price is EUR 1,2 mio. PROGEN Biotechnik GmbH is now concentrating again on its core business of development, production and marketing of research reagents and in-vitro diagnostics.

In cooperation with Prof. Dr. Werner W. Franke, DKFZ (Deutsches Krebsforschungszentrum/ German Cancer Research Center) PROGEN Biotechnik develops new immunological markers for cell-cell contact.

The General Meeting on July 15, 2009 resolve relocation to Cologne.

The annual general meeting on May 22 passes resolutions on financial measures as prerequisite for the consolidation of the group, i.e. a capital reduction, a capital increase in form of an investment in kind under exclusion of statutory stock options (contribution of PROGEN Biotechnik GmbH and IBL Gesellschaft für Immunchemie und Immunbiologie i.L.) as well as a cash increase in capital stock with indirect stock options.

March

The corporation points out in its annual report 2005 that short-term capital measures are required to secure corporate financing for fiscal year 2006.

Additionally, it is announced that the responsif GmbH, hitherto financed by the november AG, is working on a fund prospectus designed to finance the responsif GmbH independent from the november AG.

June

The participation in Attophotonics Biosciences GmbH is increased to a total of 10%.

July

The ACGT ProGenomics AG, to 23.88% in the hands of the november AG, files for insolvency.

September

After insolvency assessment, the executive board of the november AG files for insolvency September 26, 2006 at the district court of Fürth – insolvency court – because of insolvency and impending illiquidity.

The subsidiaries identif GmbH and directif GmbH, financed by november AG, as a result also have to file for insolvency due to impending illiquidity. PEQLAB Biotechnologie GmbH is not immediately involved in the insolvency of the parent company.

The patent holders of the Annexin patent withdrew the license resp. sub-license issued to november AG resp. responsif GmbH. As the business model of the responsif GmbH is mainly based on this patent, the loans granted to the responsif GmbH by the november AG are rated as value-less after the license was revoked and, as a result, a complete allowance for loss of investments was made. Change in the board of directors: Dr. Bertling, founder and CEO resigns from office. Reinhard Schüren is appointed new CEO.

BIOMED Beteiligungsgesellschaft mbh and Dr. Claus Müller declare their intention to continue the activities of the november group and to guarantee the financing of the companies even during insolvency proceedings.

Insolvency proceedings for the november AG and its insolvent subsidiaries are initiated December 1, 2006.

2005

February

A cooperation agreement is signed with EPIDAUROS Biotechnologie AG. Subject of the agreement is the joint commercialization and marketing of the directif technologies in the area of pharmacogenetics; joint development of customized applications for pharmaceutical companies.

november AG acquires 5% of Attophotonics Biosciences GmbH, located in Vienna/Austria.

December

A licence and supply agreement is signed with DuPont Packaging & Industrial Polymers for the worldwide exclusive distribution of brand protection technologies, developed by identif GmbH. Additionally, DuPont acquires 10% share of identif GmbH with a participation agreement.
